- "Agreement" refers to these Terms and Conditions together with any executed engagement letter.
2. Acceptance of Terms
By accessing this website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing this website on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.
Use of this website constitutes acceptance of these Terms. Engagement of our services is governed by a separate written engagement letter that supplements these Terms.
3. Service Description and Availability
Birchwood Legal provides legal services in the areas described on this website — Real Estate Transaction Support, Business Succession & Transfer, and Regulatory Compliance Consultation — within the provinces of Alberta and British Columbia, Canada, and in respect of applicable federal matters.
The information provided on this website is for general informational purposes only and does not constitute legal advice. No solicitor-client relationship is formed through use of this website alone. A solicitor-client relationship is established only upon execution of a written engagement letter.
We reserve the right to decline to act for any prospective client, including where a conflict of interest is identified.
4. User Conduct and Prohibited Activities

6. Payment Terms
Fees for legal services are set out in the engagement letter provided at the commencement of each matter. All fees are denominated in Canadian dollars (CAD). Prices shown on this website represent starting points and are subject to confirmation in writing prior to engagement.
Invoices are payable within the period specified in the engagement letter. We accept payment by electronic funds transfer, certified cheque, or other methods confirmed in writing. Birchwood Legal maintains a trust account in compliance with Law Society of Alberta requirements.
Refund terms, where applicable, are set out in the engagement letter.
7. Service-Specific Terms
Real Estate Transaction Support: Services are scoped to the specific transaction described at intake. Additional matters arising from the transaction — title defects, disputes, litigation — fall outside the standard engagement unless separately agreed.
Business Succession & Transfer: Two rounds of document revisions are included within the base engagement fee. Substantive scope changes requested after the second revision may be addressed by a separate supplemental agreement.
Regulatory Compliance Consultation: The compliance review reflects requirements as they exist at the time of the engagement. Birchwood Legal is not responsible for legislative changes that occur after the completion of the review unless a continuation or update engagement is agreed.
8. Disclaimers
The information on this website is provided "as is" without warranties of any kind. Birchwood Legal does not guarantee that use of this website will be uninterrupted or error-free.
Legal outcomes depend on facts, applicable law, and circumstances beyond our control. We do not make any representations regarding the results of legal matters. Each engagement is handled with care and professional diligence, but no specific outcome is promised.
9. Limitation of Liability
To the extent permitted by applicable law, Birchwood Legal's liability for claims arising from use of this website (excluding claims under a signed engagement letter) is limited to direct damages not exceeding CAD $500. We are not liable for indirect, consequential, or incidental damages arising from website use.
Liability in respect of legal services provided under an engagement letter is governed by the terms of that letter and applicable Law Society of Alberta rules.
10. Indemnification
You agree to indemnify and hold harmless Birchwood Legal, its solicitors, and staff from any claims, damages, or expenses arising from your use of this website in breach of these Terms, or from any misrepresentations made by you in connection with an engagement.
11. Termination
Either party may terminate a service engagement by providing written notice in accordance with the engagement letter. Birchwood Legal may suspend or restrict website access at any time without notice. Upon termination, obligations that by their nature survive termination — including confidentiality and payment obligations — continue to apply.
12. Dispute Resolution and Governing Law
These Terms are governed by the laws of the Province of Alberta and the applicable laws of Canada. Disputes arising from use of this website or these Terms shall first be addressed through informal good-faith negotiation. If unresolved, disputes may be submitted to mediation before any formal proceedings are commenced.
For disputes arising under a signed engagement letter, the dispute resolution provisions of that letter apply. The courts of Alberta have jurisdiction for any formal proceedings relating to these Terms.
13. General Provisions
- Entire Agreement: These Terms, together with any executed engagement letter, constitute the entire agreement between the parties regarding the subject matter herein.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute waiver of that provision.
- No Assignment: You may not assign your rights under these Terms without our prior written consent.
14. Changes to These Terms
We may update these Terms from time to time. Changes are effective upon posting to this website with a revised "Last Updated" date. Continued use of this website after the posting of changes constitutes acceptance of the updated Terms.
